Terms of Service
The agreement
These terms apply between ASN Intelligence LLC, a Florida limited liability company ("ASN", "we", "us"), and the business that engages us ("you", "the client").
If we've signed a separate written agreement, proposal or statement of work with you, that document governs and these terms fill any gaps. Where the two genuinely conflict, the signed document wins.
What we provide
We provide done-for-you AI-visibility and related marketing services. Depending on what you've engaged us for, that can include:
- measuring how AI systems currently answer questions in your category, and reporting it;
- building and improving pages, structured data and other material on your website;
- creating and maintaining business listings and profiles on third-party directories, where you have authorised it;
- working to get your business represented in the sources those AI systems draw on;
- requesting reviews from your customers on your behalf, where you have authorised it;
- an AI receptionist that answers and records calls to a line you nominate.
Your quote or proposal says which of these you are buying.
What we do and do not promise
We promise to do the work, to do it competently, and to show you the measurements — including when they are unflattering.
We do not control ChatGPT, Claude, Gemini, Perplexity, Google, or any directory or review platform. They decide what they say and who they cite, they change how they work without notice, and they answer the same question differently on different days.
We therefore do not promise any particular result — no ranking, no placement, no citation, no mention, no volume of traffic, enquiries or customers, and no timeframe in which any of that will happen.
Results vary between businesses and between categories, and past measurements for one client are not a prediction for another. Anyone in this industry who tells you otherwise is describing something they cannot deliver.
What we will do is publish your starting position before we change anything, measure it on a regular schedule, and report what moved and what didn't.
Term, renewal and cancellation
Engagements run for a committed term that you choose before you start — typically three, six or twelve months. Your quote states the term.
You are committing to the full term, and you are responsible for the fees for that whole term. Cancelling part-way does not end your obligation to pay the remaining months.
The reason is not administrative. This work compounds: the first weeks are set-up whose benefit lands later, and a campaign stopped half-way delivers neither of us anything. We would rather you commit knowingly than pay for a start with no finish.
At the end of the term you may renew for a further term or end the engagement. Tell us in writing before the term ends. If neither of us says anything, the engagement continues month to month at the same monthly fee, and either of us can end it with 30 days' written notice.
We may end an engagement early — and stop billing you for the remaining term — if we conclude we cannot do useful work for you, or if continuing would require us to do something misleading or unlawful. If we do that, you owe nothing beyond the month in progress.
Written notice means email to contact@asnintelligencellc.com.
Fees, billing and refunds
- Fees are stated in your quote: usually a one-time set-up fee plus a recurring monthly fee.
- The set-up fee is charged when you start. The monthly fee recurs automatically on the same day each month for the length of your term.
- Payment is by card through Stripe. We never see or store your card number.
- Fees are in US dollars and exclude any taxes that apply.
- If a payment fails we'll tell you and try again. If it stays unpaid we may pause the work until it clears. Pausing does not extend your term or reduce what is owed.
Fees are non-refundable. Set-up fees and monthly fees already paid are not refunded, including if you stop part-way through a term. Cancelling at the end of a term stops future billing; it does not reverse payments already made.
We publish this plainly rather than burying it, because you should know it before you buy and not after. If you think you have been billed in error, email us and we will look at it properly.
What we need from you
We can only work with what you give us. You agree to:
- give us accurate information about your business, and tell us when it changes;
- respond when we need a decision — usually a yes or no on something going out in your name;
- give us the access we need, or nominate someone who can.
If we're waiting on you, the work waits too, and your term keeps running. We'll tell you clearly when we're blocked and on what.
Listings and review requests
Two parts of this work happen in your name rather than ours, so we need your explicit authorisation and we keep a dated record of it.
Business listings
Where you authorise it, we create, claim and maintain listings for your business on third-party directories. You confirm you have the authority to authorise this for the business concerned, and that the information you give us is accurate. Those directories have their own terms and their own decisions about what they publish; we cannot compel any of them to list you or to keep you listed.
Review requests
Where you authorise it, we ask your customers to leave a review. You confirm those customers are real customers and that you have a lawful basis to contact them.
We ask for honest reviews and nothing else. We will not write reviews, buy them, incentivise positive ones, filter out unhappy customers before asking, or suppress a review because it is critical. Federal rules prohibit that and we would not do it in any case. If you ask us to, we will decline and it may end the engagement.
Call answering and recording
If your engagement includes an AI receptionist, calls to the line you nominate may be answered and recorded. Recording is disclosed to the caller at the start of the call.
You are responsible for telling your own customers how you handle their information, including that calls to your business may be recorded. We handle those recordings only to provide the service to you. See our Privacy Policy.
Who owns what
- Yours stays yours. Your name, logo, content, photos, customer lists and accounts remain yours. You give us permission to use them only to do the work.
- What we make for you becomes yours once you've paid for it — the pages, copy, structured data and listings we create in your name. Before payment they remain ours.
- Our own tools stay ours — our measurement engine, our software, our internal methods and datasets. You're buying the output, not the machinery.
- We may describe the work we did for you in general terms, but we will not name you publicly as a client, or publish your numbers, without your written permission.
Acceptable use
We won't do work that is misleading, deceptive or unlawful. That includes inventing credentials, claiming awards or certifications you don't hold, publishing false claims about competitors, or anything that misrepresents your business. If a request crosses that line we'll say so and offer the honest version instead.
Confidentiality
Each of us will keep the other's non-public information confidential and use it only for this engagement. This does not cover information that is already public, that either of us knew beforehand, or that we are legally required to disclose.
Liability
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special or consequential losses, or for lost profits, lost revenue or lost business opportunity, even if warned they were possible.
Our total liability to you for any claim arising out of the engagement is limited to the fees you paid us in the three months before the event giving rise to the claim.
Nothing here limits liability for fraud, or for anything that cannot lawfully be limited.
Indemnity
You will cover us against claims arising from information you gave us being inaccurate, from your lack of authority to authorise something you asked us to do, or from your own breach of these terms. We will cover you against claims that work we originated infringes someone else's intellectual property.
Governing law
These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Hillsborough County, Florida, and we each consent to that jurisdiction.
If any part of these terms is unenforceable, the rest continues to apply.
Changes
We may update these terms. The date at the top will change. Changes apply to new engagements and to renewals — we will not change the terms of an engagement that is already running without your agreement.
Accepting these terms
These terms become binding on you at the earliest of these moments:
- you sign a proposal, order form, statement of work or service agreement that refers to them;
- you accept them in our client portal or at checkout;
- you pay an invoice from us that refers to them; or
- you ask us to start and then carry on accepting the services.
Whoever accepts on your behalf confirms they are authorised to commit your business. A typed name, an electronic signature or a click to accept carries the same legal weight as ink under the federal E-SIGN Act and Florida's Uniform Electronic Transaction Act, and we may rely on it.
The two things worth reading twice before you accept, because they are the two people most often assume work the other way round:
— you commit for the term you sign up for, and cancelling part-way does not end what you owe for it (Term);
— we do not promise any particular ranking, placement, citation or result (What we do and do not promise).
The whole agreement, and which document wins
These terms, any proposal or statement of work you have signed, and any policy linked from this page are the entire agreement between us about the services. They replace everything that came before — sales conversations, emails, decks, unsigned proposals and anything published on our websites. Nothing on a marketing page is a promise unless it is written into one of these documents.
Where two of them genuinely conflict, they rank in this order:
- a signed agreement, order form or statement of work;
- these Terms of Service;
- any other ASN policy or page linked from here.
Changing, waiving, assigning
A change to the terms of a running engagement has to be in writing and agreed by both of us. If either of us does not enforce something straight away, that is not a waiver of it, and letting one thing go once does not mean letting it go again.
Neither of us may assign this agreement without the other's written consent, except to a successor in a merger or a sale of substantially all of the business, where consent is not needed.
Notices
Formal notice to us goes to contact@asnintelligencellc.com. Notice to you goes to the email address on your account — keep it current, because that is where we will send it. Email notice takes effect the next business day.
Independent businesses
We are your service provider, not your employee, partner, agent or joint venturer, and neither of us can bind the other to anything. Nobody outside this agreement gets rights under it.
Events outside our control
Neither of us is in breach for a delay caused by something genuinely outside our control — an outage or policy change at a platform we depend on, a natural disaster, a strike, war, or a change in the law. This never excuses paying money that is already owed.
What survives the engagement ending
When the engagement ends, these carry on: fees already owed, Who owns what, Confidentiality, Liability, Indemnity, Governing law, and this section.
If any part of these terms turns out to be unenforceable, that part is cut back to what the law allows and the rest carries on unaffected.
